2. Client Responsibilities
By engaging with our services, you agree to:

- Cooperate with us in a timely and professional manner to ensure the success of the consultancy process.
- Ensure you have the necessary legal rights to use any information, intellectual property, or resources you provide to us.
- Pay for our services as agreed upon in the contract or proposal.
- Abide by any additional terms or agreements that apply to specific services.
3. Fees and Payment
Our fees for services will be agreed upon in a separate contract or proposal. You agree to pay for services as outlined in that agreement. All payments are due in accordance with the terms outlined in the agreement, which may include a payment schedule. Late payments may incur additional charges, and failure to pay may result in the suspension or termination of services.
Payments should be made through the specified payment methods listed in the contract, and you agree to bear any additional fees or charges imposed by payment processors.
4. Intellectual Property
- Client’s Intellectual Property: You retain all rights to the intellectual property you provide us, including any business models, branding, and other materials. You grant us a limited, non-exclusive, non-transferable license to use your intellectual property solely to provide the contracted services.
- Momentum Zed’s Intellectual Property: All content, documents, materials, reports, tools, methodologies, and other proprietary resources created by Momentum Zed during the provision of our services remain our property, unless otherwise specified in the agreement.
You may not copy, distribute, or use our intellectual property beyond the agreed-upon scope without our written consent.
5. Confidentiality
We will maintain confidentiality regarding any sensitive or proprietary information you provide us during the course of our services. We will not disclose such information to third parties unless required to do so by law or with your explicit consent.
You agree to maintain the confidentiality of any materials or information we share with you and to use such information only for the purpose of engaging in our services.
6. Limitation of Liability
To the fullest extent permitted by law, Momentum Zed will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services we provide, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from our services will not exceed the total fees paid by you for the services that gave rise to the claim.
7. Termination
Either party may terminate the agreement at any time, with written notice, for any reason. If you terminate the agreement, you will be liable for any outstanding fees up to the date of termination.
Momentum Zed reserves the right to terminate services if you breach any of these Terms or fail to pay fees as agreed.
Upon termination, you will return any materials or intellectual property belonging to Momentum Zed and will no longer be entitled to use our resources or services.
8. Dispute Resolution
In the event of any dispute, controversy, or claim arising from these Terms or our services, both parties agree to attempt to resolve the matter amicably through mediation or negotiation.
If a resolution cannot be reached through informal means, any dispute will be resolved through binding arbitration, with the arbitration process conducted in the United Kingdom in accordance with the applicable laws.
9. Indemnification
You agree to indemnify and hold Momentum Zed, its affiliates, and its employees harmless from any claims, damages, losses, or expenses arising out of your breach of these Terms or your use of our services, including any claims resulting from your actions or third-party claims.
10. Force Majeure
Momentum Zed will not be held liable for failure to perform any obligations under this agreement if such failure is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, strikes, government regulations, or power failures.
11. Modifications to These Terms
Momentum Zed reserves the right to modify these Terms at any time. Any changes will be effective upon posting on our website. We encourage you to review these Terms periodically. Continued use of our services after modifications indicates your acceptance of the updated Terms.
12. Governing Law
These Terms will be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of the United Kingdom.
